The terms that govern your access to and use of the Spidanest website, service, and the information it provides.

1. Acceptance of These Terms

These Terms & Conditions ("Terms") form a binding agreement between you and Spidanest™ ("Spidanest," "we," "us," or "our") governing your access to and use of the Spidanest website, applications, threat-analysis engine, and all related content, features, and services (collectively, the "Service").

By accessing or using the Service — including by creating an account, submitting content for analysis, or simply browsing the website — you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy & Data Protection Policy. If you do not agree, you must not access or use the Service.

2. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account or use the Service. By using the Service you represent and warrant that you meet this requirement and that all registration information you provide is accurate and kept current.

If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" refers to both you and that organization.

3. The Service and Its Purpose

Spidanest provides automated, pattern-based risk signaling for informational and educational purposes only. Every result the Service produces is a probabilistic assessment — not a verdict, guarantee, legal opinion, financial advice, or professional cybersecurity audit.

A low risk score does not certify that content is safe, and a high risk score does not conclusively prove that content is fraudulent. You are solely responsible for the decisions you make, and you agree not to rely on the Service as the sole basis for any decision involving money, credentials, personal data, or legal matters.

4. Accounts and Security

Certain features require an account. Registration with an email address requires verifying that address before the account is created. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You agree to notify us immediately of any unauthorized use of your account or any other breach of security. We are not liable for any loss arising from your failure to safeguard your credentials. We may suspend or terminate accounts that we reasonably believe have been compromised or used in violation of these Terms.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Submit content you are not authorized to share, or that infringes the rights of any third party.
  • Use the Service to harass, defame, or harm others, or to build or train a competing product.
  • Attempt to reverse-engineer, decompile, scrape, or gain unauthorized access to any part of the Service or its underlying systems.
  • Interfere with, disrupt, or place an unreasonable load on the Service, including through automated querying beyond permitted limits.
  • Circumvent scan allowances, usage limits, authentication, or any access or security controls.
  • Misrepresent a Spidanest result, or present it as a definitive verdict, to deceive or pressure another person.

6. Content You Submit

You retain ownership of the content you submit for analysis. By submitting content, you grant Spidanest a limited, non-exclusive, worldwide license to process, transmit, and analyze that content — including through trusted third-party AI and threat-intelligence providers — solely to operate, secure, and improve the Service.

Content you submit through the scanner is analyzed and then automatically deleted from our systems within 24 hours. We do not retain your uploaded documents or images beyond that window, and we do not use them to build a permanent profile of you.

You represent that you have the necessary rights to submit the content and that doing so does not violate any law or third-party right. Do not submit sensitive personal information, credentials, or regulated data that you are not authorized to share.

7. Subscriptions, Purchases, and Billing

Some features are offered on a free tier with usage limits, and others require a one-time purchase or a recurring subscription. Prices, scan allowances, and plan features are described at the point of purchase and may change prospectively.

Recurring subscriptions renew automatically until cancelled. You may cancel at any time, and cancellation takes effect at the end of the current billing period. Except where required by law, payments are non-refundable. Payment processing is handled by a third-party processor, and your use of that processing is subject to its terms.

8. Intellectual Property

The Service, including its software, models, design, text, graphics, and the Spidanest name and logo, is owned by Spidanest or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-transferable license to use the Service for its intended purpose; no other rights are granted.

All other product names, logos, and brands referenced during analysis are the property of their respective owners. Spidanest is not affiliated with, endorsed by, or sponsored by any brand, company, or agency referenced during an analysis.

9. Third-Party Services and Links

The Service incorporates third-party data and may contain links to third-party websites and resources. We do not control and are not responsible for the accuracy, availability, or content of those services, and providing a link does not imply endorsement. Your use of any third-party service is governed by that party’s own terms.

10. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

Threat detection is inherently imperfect and may produce false positives and false negatives. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, or that any result is accurate, reliable, or complete. 11. Limitation of Liability

To the maximum extent permitted by law, Spidanest and its operators, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or other intangible losses, arising from or related to your use of, or inability to use, the Service or reliance on any result.

To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service shall not exceed the greater of the amount you paid us for the Service in the twelve months preceding the claim, or fifty U.S. dollars (US$50).

12. Indemnification

You agree to indemnify and hold harmless Spidanest and its operators from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your content, your use of the Service, or your violation of these Terms or any applicable law or third-party right.

13. Suspension and Termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or created risk or legal exposure for us or others. You may stop using the Service and close your account at any time.

Provisions that by their nature should survive termination — including intellectual-property, disclaimer, liability, indemnification, and governing-law provisions — will survive.

14. Changes to the Service and These Terms

We may modify or discontinue the Service, or update these Terms, at any time. When we make material changes to these Terms, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

15. Governing Law

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to binding arbitration or a small-claims exception, to the extent permitted by applicable law.
